Introduction:

1. These Terms of Service (the “Terms”) are intended to make you aware of your legal rights and responsibilities with respect to your access to and use of the website at https://www.corpository.com (the“Website”) or https://explore.corpository. com (“Explore”), iOS and Android mobile application – Corpository (“Mobile App”), any of the reports (in .pdf, .excel or in any other format) ordered, downloaded from the Website or mobile application or emailed by us as a part of the Services (“Reports”) and any other services provided through mobile applications, software applications, webpage or in any other manner, whether existing now or in the future (“Portal”) of Bluevine Technologies Private Limited (“Corpository” or “We” or “Us”).
2. By downloading or otherwise accessing the Portal or the Services you agree to be bound by the following terms and conditions (“Terms“) and Privacy Policy. If you have any queries about the Portal, the Services or these Terms, you can contact Us by any of the means set out in paragraph 14 of these Terms. If you do not agree with these Terms, you should stop using the Portal and the Services immediately.

Definitions:

1. “Services” will include providing data/ information of various companies and directors, whether in form of html pages, Reports, APIs or in any other format; downloading the required reports, documents or forms; running queries and accessing comparative information or otherwise through Explore; monitoring companies; asked for by the User and such other existing and future services of the Corpository as are provided through its App.
2. “Content” means the content that Corpository creates or makes available in connection with the Services including, but not limited to, visual interfaces, interactive features, graphics, design, compilation, computer code, products, software, functionalities, Corporate and Director data, information, reports and such other User consumable data and Usage Related data in connection with activities associated with your account and all other elements and components of the Services excluding Your Content and third party content. It will include (but is not limited to) text, tables, graphs, images, photos, audio, video and all other forms of information or data.
3. “Your content” or “User Content” means content that you upload, share or transmit to, through or in connection with the Services, such as your personal information, likes, rating, reviews, images, photos, messages that you display or are displayed in your account.
4. “Third Party Content” means content that comes from parties other than Corpository or its users and is available on the Services.

Terms of Service:

1. Corpository shall not be responsible to render the Services on such days which are declared as holidays by Reserve Bank of India and Ministry of Corporate Affairs, Government of India.
2. Corpository will, upon request of the User, disclose the source of information and also provide supporting source documents for inspection.

Terms of use:

1. The Portal and the Services are made available by Corpository for your own, internal use. You shall not resell, transfer or distribute any of the information obtained through the Portal or the Services of Corpository to any third party, whether or not for a consideration. Corpository grants to you a limited, non-exclusive and non-transferable license to access and use the Services only as expressly permitted in this agreement. You shall not share any information derived from the Portal, the Services or the Reports of Corpository with any third party individuals or entities.
2. You shall not use the Portal or the Services for any illegal purpose or in any manner inconsistent with these Terms.
3. When you use the Portal or the Services you must comply with all applicable laws of India and with any applicable international laws (together referred to as “Applicable Laws”).
4. You agree that when using the Portal or the Services, you will comply with all Applicable Laws and these Terms. In particular, but without limitation, you agree not to:
   1. Use the Portal or the Services in any unlawful manner or in a manner which promotes or encourages illegal activity including (without limitation) copyright infringement;
   2. Attempt to gain unauthorised access to the Portal or any networks, servers or computer systems connected to the Portal or the Services;
   3. Modify, adapt, translate, disassemble, decompile, reverse engineer or store the or any part of the Portal, or re-format or frame any portion of the pages comprising the Portal, save to the extent expressly permitted by these Terms or by law;
   4. License, sublicense, transfer, sell, resell, publish, reproduce, and/or otherwise redistribute any component of the Portal in any manner (including, but not limited to, via or as part of any Internet site or mobile application);
   5. Create archival or derivative works based on the Reports or any portion thereof;
   6. Use or attempt to use any “deep-link,” “scraper,” “robot,” “bot,” “spider,” “data mining,” “computer code” or any other automated device, program, tool, algorithm, process or methodology or manual process having similar processes or functionality, to access, acquire, copy, or monitor any portion of the Portal or any data or content found on or accessed through the Portal without prior express written consent of Corpository. Any collection of any content using these methods is a violation of these Terms of Service;
   7. Obtain or attempt to obtain, make available or attempt to make available to others, through any means, any data, information or Reports on the Portal that have not been intentionally made publicly available;
   8. In any way bypass or circumvent any other measure employed to limit or prevent access to the Portal or its content;
   9. Violate the security of the Portal, or attempt to gain unauthorized access to the Portal data, materials, information, computer systems or networks connected to any server associated with this Portal, through hacking, password mining or any other means;
   10. Interfere or attempt to interfere with the proper working of the Portal or any activities conducted on or through the Portal, including accessing any data, content or other information prior to the time that it is intended to be available to the public;
   11. Take or attempt any action that, in the sole discretion of Corpository, imposes or may impose an unreasonable or disproportionately large load or burden on the Portal or such operation’s infrastructure;
   12. Collect email addresses or other contact information from the Portal by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;
   13. Use any communication tool or other means available on the Portal to transmit, directly or indirectly, any unsolicited bulk communications (including emails and instant messages);
   14. Use or attempt to use another’s account, service or system without authorization from Corpository, or create a false identity on the Portal; or
   15. Any other action that may damage, disable, overburden, impair or be detrimental to the interest or the image of Corpository.
5. You agree to indemnify Corpository in full and on demand from and against any loss, damage, costs or expenses which they suffer or incur directly or indirectly as a result of your use of the Portal otherwise than in accordance with these Terms or Applicable Laws.
6. By using the Portal, You authorize Corpository to access third party sites, including that of Banks and other payment gateways for retrieving requested information.
7. While registering, You will choose a password and are responsible for maintaining the confidentiality of the password and the account.
8. You understand that you are fully responsible for all activities that occur while using your password or account. It is your duty to notify Corpository immediately in writing of any unauthorized use of your password or account or any other breach of security. We will not be liable for any loss that may be incurred by You as a result of unauthorized use of your password or account, either with or without your knowledge. You shall not use anyone else’s password at any time.
9. You agree to indemnify Corpository in full and on demand from and against any loss, damage, costs or expenses which they suffer or incur directly or indirectly as a result of your use of the Portal otherwise than in accordance with these Terms or Applicable Laws.

Intellectual property rights and content:

1. You acknowledge that the Services contain original works and have been developed, compiled, prepared, revised, selected, and arranged by us and others through the application of methods and standards of judgment developed and applied through the expenditure of substantial time, effort, and money and constitutes valuable intellectual property of Corpository.
2. We are the sole and exclusive owners on the code, programs, workflow, algorithms, APIs, links or any other intellectual property resulting from the Portal or the Services of Corpository. We also exclusively own the copyrights, trademarks, service marks, logos, trade names and other intellectual and proprietary rights associated with the Portal, the Website, the Services and Our Content, recognized in any jurisdiction. All rights are reserved.
3. No rights or licenses are granted by Corpository to you, expressly or by implication, with respect to any intellectual property owned or controlled by the Corpository.
4. The Customer agrees that it shall not transfer, rent, sell, distribute, lease, or sublicense Corpository’s intellectual property.
5. You agree that you shall not design, develop or create any modifications, enhancements, derivative works and/or extensions (collectively “Modifications”) to the intellectual property of Corpository or cause or permit any other party to do any of the foregoing.
   1. the event you or any of your employees, consultants or agents design, develop or create any copy of the intellectual property of Corpository or Modifications to the intellectual property of Corpository in violation of these Terms, in addition to any other remedies that may be available in law, in equity or under these Terms, all right, title and interest in and to the copy of this intellectual property or such Modifications and all intellectual property rights associated therewith will be the exclusive property of Corpository.
   2. You agree to secure all necessary rights and obligations from your employees, consultants or agents in order to satisfy the foregoing obligations.
6. You can view, print or download extracts of the Reports for your own personal use but you cannot otherwise copy, edit, vary, reproduce, publish, display, distribute, store, transmit, disseminate in any form whatsoever or use the information in the Portal without Corpository’s express written permission.
7. To the fullest extent permitted by applicable law, we neither warrant nor represent that your use of materials displayed on the Portal will not infringe rights of third parties not owned by or affiliated with us. You agree to immediately notify us upon becoming aware of any claim that the Portal or the Services infringe upon any copyright, trademark, or other contractual, intellectual, statutory, or common law right.
8. Except as otherwise expressly granted to you in writing, we do not grant you any other express or implied right or license to the Portal, the Services or our intellectual property rights.
9. By submitting Your Content you hereby irrevocably grant us a perpetual, irrevocable, non-exclusive, royalty-free right to use Your Content for any purpose including in any media existing now or in future. You irrevocably waive, and cause to be waived, any claims and assertions of moral rights or attribution with respect to Your Content brought against us, by any third party.
10. You are responsible for Your Content. You represent and warrant that
    1. Your Content submitted by you is correct and complete;
    2. Your Content was not submitted via the use of any automated process such as a script bot;
    3. Use of Your Content by us or by any other third parties will not violate or infringe any rights of yours or any third party; and
    4. Your Content does not violate the Terms or any applicable laws.
11. We may obtain business addresses, phone numbers, and other information from third party vendors who obtain their data from public sources or from such businesses. We have no control over, and make no representation or endorsement regarding the accuracy, relevancy, copyright compliance, legality, completeness, timeliness or quality of such third party content or services and any other content appearing in or linked to the Services.
12. Where appropriate, we may in our sole discretion and without any obligation, verify any updates, modifications, or changes to any content accessible on the Services, but shall not be liable for any delay or inaccuracies related to such updates.
13. You acknowledge and agree that Corpository is not responsible for the availability of any such external sites or resources, and does not endorse any materials on or available from such websites or resources.
14. We assume no responsibility or liability for any of Your Content or any third party content.
15. You further acknowledge and agree that Corpository is not liable for any loss or damage which may be incurred by you as a result of the availability of those external sites or resources, or as a result of any reliance placed by you on the completeness, accuracy or existence of any products or other materials on, or available from, such web sites or resources. Without limiting the generality of the foregoing, we expressly disclaim any liability for any offensive, defamatory, illegal, invasive, unfair, or infringing content provided by third parties.

Third party links and content:

1. Certain links on the Portal and the Website lead to resources located on servers maintained by third parties. Such third party websites are independent from Corpository, over whom Corpository has no control or connection.
2. You agree and understand that by visiting such sites you are beyond the Corpository’s website. Please note that your use of third party services will be governed by the terms of service and privacy policy applicable to the corresponding third party.
3. Third Party Content, does not reflect our views or that of our parent, subsidiary, affiliate companies, branches, employees, officers, directors, or shareholders.
4. Before relying on the material, users should independently verify its relevance for their purposes, and should obtain any appropriate professional advice.
5. We do not screen or investigate third party content before or after including it on our Services. We reserve the right, in our sole discretion and without any obligation, to make improvements to, or correct any error or omissions in, any portion of the content accessible on the Services.

Free trial and fees:

1. The basic version of the Portal as well as the access to basic information on the Website is available for free.
2. In order to get access to the premium information of the companies, you may buy the information from the Website or Mobile App. The payment for such purchase shall be done through our Payment gateway [•].One subscription allows the user one set of login ID and password for his/her personal use.
3. To gain access to premium information on a bulk basis or to gain access to Explore or any other information on any of the Portals, you may contact our team.
4. All information, reports, documents, content and access rights purchased on Corpository are non-refundable.
5. In the event there is any claim for/ of charge back by you for any reason whatsoever, you shall immediately approach Corpository with your claim details. Corpository shall, process such refunds if it find the debit to be a genuine case. The genuiness of such claims shall be decided by Corpository at its own discretion and you agree that Corpository’s decision in such matter will be final and binding.
6. We may change our service plans and the price of our Services from time to time.

Third Party links and content:

We take your privacy very seriously. Corpository will only use your personal information in accordance with the terms of our privacy policy. By using the Portal you acknowledge and agree that you have read and accept the terms of our privacy policy and these Terms.

Disclaimer/Liability:

1. USE OF THE PORTAL OR THE WEBSITE IS AT YOUR OWN RISK. THE PORTAL AND ITS CONTENT IS PROVIDED ON AN “AS IS” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) CORPOSITORY DISCLAIMS ALL LIABILITY WHATSOEVER, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE IN RELATION TO THE PORTAL, ITS SERVICES AND ITS CONTENT; AND (B) ALL IMPLIED WARRANTIES, TERMS AND CONDITIONS RELATING TO THE PORTAL, THE SERVICES, THE REPORTS OR THE CONTENT/ INFORMATION (WHETHER IMPLIED BY STATUE, COMMON LAW OR OTHERWISE), INCLUDING (WITHOUT LIMITATION) ANY WARRANTY, TERM OR CONDITION AS TO ACCURACY, ADEQUACY, RELIABILITY, COMPLETENESS, SATISFACTORY QUALITY, PERFORMANCE, FITNESS FOR PURPOSE OR ANY SPECIAL PURPOSE, TIMLINESS, CURRENTNESS, AVAILABILITY, NON INFRINGEMENT, AS BETWEEN CORPOSITORY AND YOU, ARE HEREBY EXCLUDED. IN PARTICULAR, BUT WITHOUT PREJUDICE TO THE FOREGOING, CORPOSITORY SHALL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY FAILURE OF PERFORMANCE, INACCURACY, DELAY IN OPERATION OR TRANSMISSION, INTERRUPTION IN SERVICE, ERROR OR OMISSION, DELETION, DEFECT, COMPUTER VIRUS, COMMUNICATIONS LINE FAILURE, THEFT OR UNAUTHORIZED ACCESS TO, ALTERATION OF INFORMATION, REGARDLESS OF CAUSE, OR FOR ANY DAMAGES RESULTING THEREFROM. IN NO EVENT WILL CORPOSITORY OR ANY OF THEIR THIRD PARTY LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGE TO YOUR COMPUTER SYSTEM OR DAMAGES OF LOST TIME, LOST MONEY, LOST PROFITS OR GOOD WILL, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT SUCH DAMAGES ARE FORESEEN OR UNFORESEEN WITH RESPECT TO ANY USE OF THE PORTAL, THE SERVICES OR THE CONTENT. CORPOSITORY WILL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY LOSS OR INJURY RESULTING FROM USE OF THE PORTAL, THE SERVICES OR THE CONTENT, IN WHOLE OR PART, WHETHER CAUSED BY NEGLIGENCE, CONTINGENCIES BEYOND ITS CONTROL IN PROCURING, COMPILING, INTERPRETING, REPORTING OR DELIVERING THE CONTENT OR OTHERWISE. IN NO EVENT WILL CORPOSITORY, ITS AFFILIATES, AGENTS OR LICENSORS BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN BY YOU IN RELIANCE ON SUCH CONTENT OR THE PORTAL OR THE SERVICES.
2. DUE TO THE NUMBER OF SOURCES FROM WHICH THE CONTENT IS OBTAINED AND THE POTENTIAL HAZARDS OF ELECTRONIC DISTRIBUTION, THERE MAY BE DELAYS, OMISSIONS OR INACCURACIES IN SUCH CONTENT, THE PORTAL AND THE SERVICES.
3. CORPOSITORY MAY DISCONTINUE OR CHANGE THE PORTAL, THE WEBSITE AND THE CONTENT, OR THEIR AVAILABILITY TO YOU, AT ANY TIME, HOWEVER CORPOSITORY IS NOT UNDER ANY OBLIGATION TO UPDATE THE CONTENT FOLLOWING PUBLICATION ON THE PORTAL.
4. IF CORPOSITORY IS LIABLE TO YOU DIRECTLY OR INDIRECTLY IN RELATION TO THE PORTAL, THE SERVICES OR THE CONTENT, THAT LIABILITY (HOWSOEVER ARISING) SHALL BE LIMITED TO THE 50% OF THE SUMS PAID BY YOU TO CORPOSITORY AS FEES AS PER THE LAST INVOICE.

Service Suspension:

1. Corpository shall have the right to terminate the Services and access to the Portal with immediate effect in case of non-payment of three or more invoices by the User.
2. Corpository reserves its full right to decline registration of any person for all or any of its Services.
3. Corpository reserves its right to discontinue any services or features of any service to any person, without assigning any reason or fact whatsoever. In case of paid subscribers, Corpository shall refund that proportion of subscription fee which is equal to unexpired portion of subscription period, subject to:
   1. The User has paid all the fees that are due and payable;
   2. The User is not guilty of violation of any terms;
   3. Any government having jurisdiction over Corpository or you has not forbidden making available the Services to the User for any reason whatsoever , and
   4. Corpository no longer being allowed in law to continue such services.
4. In case of termination of Services, the User agrees to clear all the outstanding payments to Corpository, which have fallen due till the date of termination, within 15 days from the date of Termination Notice.

In-App voucher codes:

Any in-app voucher codes issued by Corpository may only be used in accordance with our Terms and Conditions for in-app voucher codes.

Confidentiality:

1. All the links, codes, programs, workflows and algorithms (“Proprietary Information”) provided by Corpository, is confidential in nature.
2. You understand that all the Proprietary Information is sensitive in nature and sharing such Information with any third party may cause substantial harm to the business interests of Corpository.
3. You agree not to share the Proprietary Information with any third party without prior written approval of Corpository.
4. You also hereby agrees to prevent unauthorized copying of the Proprietary Information.
5. You agrees not to use any portion of Proprietary Information for any illegal purposes.
6. Your duties and obligations hereunder shall remain in full force and effect for so long as you continue to control, possess, or use the Proprietary Information.

General:

1. We may send mailers occasionally on your email Ids. If you are not interested in receiving it in future, you shall need to unsubscribe from the email database. Opting out of such e-mailers shall have no effect on your subscription.
2. These Terms (as amended from time to time) constitute the entire agreement between you and Corpository concerning your use of the Portal and the Services.
3. Corpository reserves the right, at any time, to add to, change, update, or modify these Terms of Service, simply by posting such change, update, or modification on the Portal or the Website and without any other notice to you. Any such change, update, or modification will be effective immediately upon posting on the Site. It is your responsibility to review these Terms of Service from time to time to ensure that you continue to agree with all of its terms. You will be bound by the new policy upon your continued use of the Portal. No other variation to these Terms shall be effective unless in writing and uploaded herein on behalf of Copository.
4. We will send you information relating to your account (e.g. payment authorizations, invoices, changes in password or Payment Method, confirmation messages, notices) in electronic form only.
5. These Terms shall be governed by and construed in accordance with Indian laws and you agree to submit to the exclusive jurisdiction of the Ahmedabad, Gujarat, India.
6. You agree that any cause of action arising out of or related to the Corpository’s Portal, Services, Reports or its content must commence within one (1) year after the cause of action accrues otherwise, such cause of action will be permanently barred.
7. Any dispute, controversy or claim arising out of or relating to these Terms or any related agreement or other document or the validity, interpretation, breach or termination thereof (“Dispute”), including claims seeking redress or asserting rights under applicable law, shall, unless settled amicably between the Parties hereto, be resolved and finally settled as per the sole discretion of Corpository.
8. If any provision(s) of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties (as reflected in the provision(s)) and all other provisions shall remain in full force and effect.
9. Corpository’s failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Corpository in writing.
